Terms of Service

These Terms of Service govern access to and use of Hai, a service provided by Awesome System Design Sweden AB. By accessing or using Hai, you agree to these Terms. If you use Hai on behalf of an organization, you represent that you have authority to bind that organization.

If a signed agreement, order form, or enterprise agreement applies, that agreement controls where it conflicts with these Terms.

Definitions

  • Customer means the person or organization that subscribes to or otherwise uses Hai.
  • Authorized User means an individual permitted by a Customer to access Hai.
  • Services means the Hai website, platform, agents, integrations, APIs, workflows, support, and related offerings.
  • Customer Data means content, files, prompts, configurations, outputs, personal data, and other information submitted to or generated through the Services by or for Customer.
  • Third-Party Services means applications, models, integrations, infrastructure, or services not controlled by Hai.

Accounts and customer responsibilities

  • Provide accurate account, billing, and contact information.
  • Keep credentials secure and promptly report suspected unauthorized access.
  • Configure integrations, permissions, and workflows lawfully and appropriately.
  • Obtain all rights, notices, permissions, and consents needed for Customer Data.
  • Review AI-generated outputs before relying on them for business, legal, financial, employment, or other important decisions.

Acceptable use

  • Do not use Hai to violate laws, third-party rights, or internal policies that apply to you.
  • Do not upload unlawful, harmful, infringing, deceptive, or malicious content.
  • Do not reverse engineer, decompile, attack, overload, scan, or bypass security controls for the Services.
  • Do not resell, sublicense, or commercially exploit Hai except as expressly permitted by contract.
  • Do not use Hai or its outputs to build or train a competing product unless expressly authorized in writing.

Customer data

Customer retains ownership of Customer Data. Customer grants Hai a limited, non-exclusive license to host, access, use, process, transmit, display, and create outputs from Customer Data only as needed to provide, secure, support, troubleshoot, and improve the Services, comply with law, and follow Customer instructions.

Hai does not sell Customer Data. Enterprise agreements may include additional restrictions on model training, retention, data location, or subprocessors.

AI outputs and human review

Hai uses AI systems that may produce incomplete, incorrect, or unexpected outputs. Customer is responsible for reviewing outputs, testing workflows, configuring approval steps, and deciding whether outputs are suitable for use.

Third-party services and integrations

The Services may interoperate with Third-Party Services. Customer is responsible for enabling, configuring, and complying with the terms and privacy policies of those Third-Party Services. Hai is not responsible for Third-Party Services outside our control.

Fees and payment

Fees, billing periods, usage limits, renewals, and payment terms are described in the applicable order form, plan, invoice, or subscription flow. Unless otherwise stated, fees are non-cancelable and non-refundable except where required by law.

Intellectual property

Hai and its licensors own the Services, software, platform, models, infrastructure, interfaces, documentation, brand, and related intellectual property. Customer owns its Customer Data and its internal business content, workflow instructions, and configurations, subject to the limited license needed to provide the Services.

Confidentiality and security

Each party may receive confidential information from the other. The receiving party will use reasonable care to protect confidential information and use it only for purposes permitted under these Terms or the applicable agreement.

Hai maintains technical and organizational measures designed to protect Customer Data. Customer remains responsible for workspace settings, user access, integration scopes, and endpoint security.

Suspension and termination

Hai may suspend or restrict access if Customer violates these Terms, creates security risk, fails to pay amounts due, or where required by law. Customer may stop using the Services at any time, subject to applicable subscription and payment obligations.

After termination, access to the Services ends and Customer Data may be deleted or retained according to the applicable agreement, law, and operational retention rules.

Disclaimers

To the fullest extent permitted by law, the Services are provided as is and as available, without warranties of any kind. Hai does not guarantee uninterrupted availability, error-free operation, perfect security, or that AI outputs will be accurate or fit for any particular purpose.

Limitation of liability

To the fullest extent permitted by law, Hai will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, goodwill, data, business interruption, or substitute services. Any aggregate liability will be limited to the amounts paid for the Services in the twelve months before the claim, unless a different limit applies by written agreement or mandatory law.

Indemnity

Customer will defend and indemnify Hai from third-party claims arising from Customer Data, Customer's use of the Services, misuse by Authorized Users, violation of these Terms, or infringement of third-party rights, except to the extent caused by Hai's breach of these Terms.

Changes to these Terms

We may update these Terms from time to time. Material changes will be communicated by reasonable means. Continued use of the Services after changes take effect means you accept the updated Terms.

Governing law

These Terms are governed by the laws of Sweden, excluding conflict-of-law rules, unless mandatory law requires otherwise or a written agreement states a different governing law.
